Between [1] Doctor William Arthur Percival Challoner of 33 Chantry Avenue Bexhill on Sea and [2] The Royal Society of London for Promoting Natural Knowledge
Whereas Dr Challenor has in memory of his wife Elizabeth and his Mother Eliza transferred to the Royal Society the securities of which short particulars are contained in the First Schedule hereto and is desirous of declaring the trusts thereof in manner hereinafter;
Now this deed witnesseth that for effectuating the said desire it is hereby agreed and declared as follows;
1. The said gift and any additions from time to time made to the capital held upon the trusts hereof may be retained in the present state of investment or be invested in the name of The Royal Society in any of the securities hereinafter authorized and The Royal Society may at any time and from time to time vary such investments for such other securities as are hereinafter authorized.
2. The said gift (with any such additions) and the investments for the time being representing the same (hereinafter referred to as "the Trust Fund") shall be known as the Elizabeth Challenor Fund and shall be kept as a separate account in the books of The Royal Society but this clause shall not prevent the Royal Society from including the Trust Fund in any arrangements which may be lawfully established for the pooling of the investments of charitable trust funds of The Royal Society.
3. Out of the Trust Fund of the income of the Trust Fund there shall be paid all costs and expenses of or incidental to the management of the Trust Fund and the income thereof and the execution of the trusts or powers of these presents.
4. The income of the Trust Fund shall during the life of Dr Challenor and subject tot he provisions of clause 3 be invested and accumulated in any of the securities hereinafter authorized with power for The Royal Society to vary such instruments as provided in clause 1 and shall form part of the Trust Fund.
5. After the death of Dr Challenor the Trust Fund shall be held on trust that the income of the Trust Fund may be applied in such manner and at such times as the Council of the Royal Society (hereinafter called "the Council") shall determine for the promotion or assistance of scientific and medical research projects and for the publication of the results of such research including without prejudice to the generality of the foregoing research on any scientific or medical project for the benefit of mankind by the appointment of Elizabeth Challenor Research Fellowships in chemistry physics biology and medicine the order of appointment depending on the importance of the subject at the time as decided by the Council and not the order in which the subjects are stated but each subject shall only be chosen once in every cycle of four appointments and appointments to the Elizabeth Challenor Research Fellowships in medicine shall be made after consultation with the President for the time being of the Royal College of Physicians if such President is prepared to be consulted.
6. In making an appointment to an Elizabeth Challenor Research Fellowship the Council shall take into account the qualifications set out in Part I of the Second Schedule hereto but this requirement shall not limit or fetter the discretion of the Council in making appointments. All such Fellowships shall be held subject to the conditions set out in Part II of the said Second Schedule and no grant shall be made until the person appointed thereto has given to The Royal Society an undertaking in writing in such form as the Council may require to be bound and abide by the said conditions.
7. If in the judgement of the Council there is no candidate of sufficient merit for any proposed appointment to an Elizabeth Challenor Research Fellowship the Council may make no appointment but the next appointment to be proposed shall be in the same discipline.
8. The Council shall not be bound to expend the whole of the income which may be available in any year and in the event of the income or the whole of the income in any year not being expended any income not so expended may be utilised in any succeeding year for the charitable purposes declared in clause 5 hereof at the discretion of the Council or may be added to the capital of the Trust Fund at the discretion of the Council.
9. The Royal Society at any time and from time to time after the death of Dr Challenor may by deed under its Common Seal wholly or partially revoke or alter all or any of the trusts powers or provisions herein contained and may at its discretion in lieu thereof declare such new or altered charitable trusts for the purpose of the promotion or assistance of scientific and medical research with and subject to such new or altered powers and provisions in relation to the Trust Fund and the income thereof as the Royal Society shall determine.
10. The Trust Fund may be invested in th purchase of or at interest upon the securities of such stocks funds shares securities or other investments of whatsoever nature and wheresoever and whether involving liability or not or upon such personal credit with or without security as The Royal Society shall in its absolute discretion think fit to the intent that it shall have the same full and unrestricted powers of investing and transposing investments in all respects as it it were absolutely entitled thereof beneficially

In Witness thereof Dr Challenor has hereunto set his hand and seal and the Common Seal of the Royal Society has been hereunto affixed the day and year first before written

Part 1
1 In making an appointment the Council shall pay attention to the capacity for original work of a candidate as shown by the work already done by him and to the likelihood that he will continue to do valuable work. The Council is to bear in mind that the object of the Fellowship is not to train men for original research but to obtain advances in natural knowledge for the benefit of mankind by enabling men of proved ability to devote themselves to research.

2. Persons of both sexes shall be eligible for appointments and in this Schedule words importing the masculine gender only shall include the feminine gender.

Part II
Conditions applying to Elizabeth Challoner Fellowships
1. Elizabeth Challenor Research Fellowships shall be held for a term not exceeding three years.
2. A Fellow shall normally devote his whole time to the research and shall not undertake any other work or hold any other office apart from his Fellowship without the written consent of the Council.
3. A Fellow shall annually or more often if required by the Council present to the Council a report on the progress of his work.
4. If any Fellow shall commit a breach of any of the terms or conditions of his appointment or shall become in the opinion of the Council unfit unable or unwilling to pursue the research for which he is appointed the Council may determine the tenure of the Fellowship by not less than one month's notice in writing
5. If any invention shall be made by a Fellow in the course of the research he shall immediate communicate such invention together with full and sufficient information respecting the same to such person or persons as the Council may appoint and to no other person without the consent of the Council and shall not seek to obtain letters patent or other like protection without the previous consent of the Council. All patents and patent rights for any such invention and all rights in any design made by the Fellow in the course of the research shall belong to and if required shall be assigned to The Royal Society or as it may direct as trustee of the Elizabeth Challenor Fund and shall fall into and form part of the said Fund.
