Commencing with a list of Council members present: Sir William Burnett; Samuel Hunter Christie; Reverend George Peacock, Dean of Ely; Thomas Galloway; William Robert Grove; Leonard Horner; Sir John William Lubbock; George Rennie; Peter Mark Roget; Dr. John Forbes Royle; Lieutenant-Colonel Edward Sabine; Dr. William Sharpey; Captain William Henry Smyth; Isaac Taylor; Charles Wheatstone; Reverend Robert Willis; John Wrottesley. 2nd Baron Wrottesley; the President, Spencer Joshua Alwyn Compton, 2nd Marquess of Northampton, in the chair.

Among matters discussed or noted: minutes of the last meeting were read and confirmed. Resolved that the chairmen of Scientific Committees refer all outstanding papers to referees and report back to Council. Letter from Mr. Wharton Jones, appealing against the decision not to colour the illustrations for his paper; resolved that this might be done in the manner he proposes, if extended to the copies already struck off. Letter from Dr. Miller requesting to republish the papers of his late father, granted. Professor Forbes and Mr. James R. Christie requested 50 extra copies of their papers, granted. Letter from Mr. Kupffer expressing gratitude on being elected a Foreign Member. Societe des Sciences du Canton du Vaud applied to exchange their Bulletins for Philosophical Transactions, granted. Resolved that the President should apply to H.M. Government to defray the expense of publishing Edward Sabine's papers. Report of the Charter Committee, 16 June 1846, submitted by Sir William Burnett, full text entered into the minutes: with fourteen recommendations for alterations on the desirability of introducing changes to the Royal Society's adminstration by Charter or Statute, including changes to the mode of electing Fellows; with a supplementary statement of income and expenditure. Resolved that the report be considered after recess, but that a case should be finalised by the Charter Committee for counsel's opinion; with an amendment on printing the report for circulation to members of Council.
