Commencing with a list of Council members present: Henry Edward Armstrong; William Bateson; William Thomas Blanford; Frederick Orpen Bower; Charles Vernon Boys; William Burnside; George Carey Foster; Sir Michael Foster (Secretary); Sir John Eldon Gorst; William Mitchinson Hicks; Alfred Bray Kempe (Treasurer); Joseph Larmor (Secretary); Henry Alexander Miers; Robert Henry Scott; Charles Scott Sherrington; Joseph Wilson Swan; Thomas Edward Thorpe; Herbert Hall Turner; the President, Sir William Huggins, in the chair.

Among matters discussed or noted:
1. Minutes of the last meeting read and approved.
2. Death of Sir Joseph Henry Gilbert. The Treasurer reported attending the funeral, in place of the President.
3. Professor Armstrong appointed to the Council of the International Catalogue in place of the Junior Secretary.
4. Mr. J. Y. Buchanan's resignation from the Joint Antarctic Committee, accepted.
5. Widow of a Fellow recommended to the Scientific Relief Committee for assistance.
6. Letter from Arthur Bigge, York House, St. James's Palace, 4 January 1902, to Sir Michael Foster, full text entered into the minutes: the Prince of Wales to attend a meeting of the Royal Society on 6 February, to be admitted a Felllow, and agreeing to open the National Physical Laboratory. He would be unable to attend the Annual Dinner in May or June.
7. In view of the Prince of Wales's decision, the motion to hold a dinner on summer was rescinded.
8. Report of the International Association of Acdemies Committee, adopted: Sir Michael Foster appointed as a delegate to the International Council and Chair of the Executive Committee.
9. Letter from J. J. Thomson, stating that he was unable to deliver the Bakerian Lecture; Lord Rayleigh to be invited to lecture on the law of pressure in gases.
10. Letter from Sir E. Maude Thompson, British Museum, 20 December 1901, to the President of the Royal Society, full text entered into the minutes: on the first meeting of the British Academy and requesting that the Royal Society inform the International Association of Academies of the new body. With a response, Michael Foster, 23 December 1901, to Sir E. Maude Thompson agreeing to his request, but stating that the Royal Society would ensure the entrance of the British Academy to the International Association. Text of a notice from the Privy Council Office, 13 January 1902, to the London Gazette, on a petition for a Charter of Incorporation for the British Academy.
11. Report of the Officers on the admission of privileged candidates, with recommendations. Consideration postponed until next Council, with the report to be circulated.
12. Report of the Sectional Committees for Zoology and Physiology on the complaint of Dr. S. Calandruccio in the award of a Darwin Medal to Professor G. B. Grassi: a special committee set up to consider the matter further.
13. A certificate of candidature for election in favour of Mrs. Hertha Ayrton had been received: Council resolved that the certificate should not be read or suspended until Counsel's opinion had be sought on the eligibility of women for election.
14. Applications for grants from the Publication Fund suspended until the next meeting.
15. Form of printer's account for the International Catalogue prescribed.
16. Senior Secretary's motion on the time of election of Fellows postponed.
17. Letter from Professor Armstrong on the duties of Sectional Committees to be circulated for consideration at the next meeting.
18. Sir George Gabriel Stokes to act as representative to the jubilee of Owens College, in lieu of Lord Kelvin.
19. Report of the Scientific Relief Committee on grants to applicants.
20. Letter from Edward Hamilton, Treasury Chambers, 10 January 1902, to the President of the Royal Society, full text entered into the minutes: the Treasury to grant £2,000 for the completion of the National Physical Laboratory.
21. Sale of stock and bank loan for the use of the Executive Committee of the National Physical Laboratory.
22. Nominations to the General Board of the National Physical Laboratory.
23. Letter from Sir Clements Markham, thanking the Royal Society for a grant of £500 to fund a relief ship for the Antarctic Expedition.
24. Letter of thanks from Dr. H. Gadow for a grant of £150.
25. Report on Bonds transactions for the Gassiot Trust.
26. Practice of furnishing editors of journals with advance proofs of papers received to be extended over recess.
27. Leave granted for copies of illustrations.
28. Bills for books, lighting, engraving and for other expenses.
